Terms of Service

Version 1.0 · Effective 4 October 2026

1. Agreement

These Terms of Service ("Terms") govern access to and use of Visualspace, including its websites, applications, APIs, artificial-intelligence features, media-processing features, storage, collaboration tools, subscription services and related services (collectively, the "Service").

These Terms form an agreement between you and Visualspace ("Visualspace", "we", "us", or "our").

By creating an account, accepting these Terms, purchasing a plan, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organisation, Team or other entity, you represent that you have authority to bind that entity.

You must be at least 18 years old and legally capable of entering into these Terms.

2. Accounts and security

You must provide accurate account information and keep it current.

You are responsible for activity performed through your account and for maintaining the confidentiality of your credentials.

You must promptly notify us if you believe your account or credentials have been compromised.

We may require email verification, additional verification or other reasonable security measures before allowing access to some features.

You may not share credentials in a way that defeats plan, access-control, security or usage restrictions.

3. The Service

Visualspace provides tools for organising media, creating and editing projects, using AI-assisted workflows, rendering and exporting media, and related functionality.

Features may differ by plan, account, region, platform, provider availability, technical capability or release stage.

Some functionality may be identified as beta, preview, experimental, early access or otherwise subject to change. Such functionality may be modified, limited or withdrawn without the same notice that applies to generally available paid functionality.

We may update the Service to improve functionality, security, reliability, legal compliance or compatibility.

4. Your content

"Your Content" means media, files, text, prompts, project data, timelines, instructions and other material that you or authorised users submit to the Service.

As between you and Visualspace, you retain ownership of Your Content and the rights you already hold in it.

You grant Visualspace a limited, non-exclusive, worldwide licence to host, copy, transmit, process, transform and otherwise use Your Content only as reasonably necessary to provide, secure, operate, maintain and support the Service, comply with law, enforce these Terms, and perform actions you request.

You represent that you have the rights and permissions necessary to upload and use Your Content and to permit Visualspace to process it as described in these Terms and the Privacy Policy.

You are responsible for Your Content and for ensuring that your use of it complies with applicable law and third-party rights.

5. AI-assisted features

The Service may use artificial intelligence and machine-learning systems provided by Visualspace or third-party providers.

AI-generated or AI-assisted results may be incomplete, inaccurate, unexpected or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on, publishing, distributing or using them.

Visualspace does not guarantee that an AI output is unique, error-free, non-infringing or appropriate for your intended use.

You must not use AI features to violate law, infringe rights, impersonate others deceptively, create unlawful harmful content, bypass safety measures, or facilitate fraud, abuse or security attacks.

Where a feature is described as automated, generated, suggested or AI-assisted, you remain responsible for the final decision to use or publish the resulting work.

6. Acceptable use

You may not use the Service to:

  • violate applicable law or regulation;
  • infringe intellectual-property, privacy, publicity or other rights;
  • upload malware, malicious code or content intended to compromise systems;
  • gain unauthorised access to accounts, systems or data;
  • interfere with the integrity, availability or security of the Service;
  • bypass usage, entitlement, billing, credit, rate, storage or access limits;
  • scrape or abuse the Service in a manner that materially harms the Service or other users;
  • send spam or unlawful unsolicited communications;
  • generate, host or distribute unlawful content;
  • misrepresent affiliation with Visualspace or another person or organisation;
  • reverse engineer the Service except to the extent applicable law expressly permits it; or
  • use the Service in a way that creates material legal, security or operational risk to Visualspace or other users.

We may suspend or restrict use reasonably believed to violate these Terms or threaten the Service.

7. Teams and collaboration

The Service may allow users to create or join Teams, workspaces or shared Projects.

Team owners and authorised administrators may manage membership, roles, access and certain Team settings.

Your access to Team Content depends on your current role and permissions. Losing Team membership or permission may cause you to lose access to Team Content.

If you use Visualspace on behalf of an organisation, that organisation may control the Team and content associated with it, subject to the Service's applicable role and ownership rules.

Deleting an individual account does not necessarily delete content or records belonging to a shared Team or organisation. Shared Team content may remain available to that Team according to its current ownership, membership and retention rules.

8. Plans, subscriptions and billing

Visualspace may offer Free and paid plans, subscriptions, usage-based products, credit packages, top-ups or other paid features.

Current prices, plan features, included usage and billing intervals are presented in the Service or at checkout and form part of your purchase.

Paid subscriptions renew automatically for the stated billing period unless cancelled or changed before renewal.

Upgrades may take effect immediately and may result in an immediate charge or prorated adjustment as shown at checkout.

A downgrade from a paid plan to Free takes effect at the end of the current paid billing period unless we state otherwise. Paid features remain available until the effective downgrade date, subject to these Terms.

Taxes may be added where required.

Payments may be processed by third-party payment providers such as Stripe. Their services may be subject to additional terms.

Except where required by law or expressly stated by Visualspace, fees and completed purchases are non-refundable. This does not limit any mandatory consumer rights.

9. Credits

Some Visualspace features may use credits.

Credits are a Service usage unit, not money, legal tender, stored value or a financial instrument. Credits have no cash value, are not transferable unless Visualspace expressly permits it, and may be subject to plan-specific expiry or usage rules.

Free, monthly, promotional and purchased/top-up credits may have different grant, rollover, expiry and spending rules as displayed in the Service.

When you upgrade, unused valid credits already associated with your account may remain available according to their existing rules. Future recurring grants follow the active plan.

When a paid-plan downgrade becomes effective, future recurring grants follow the new plan. Previously granted credits remain governed by their applicable validity/expiry rules unless expressly stated otherwise.

Visualspace may reserve credits when work begins and settle actual usage when work completes. Cancelled, failed or retried operations may result in credits being released, settled or reconciled according to the applicable product rules shown in the Service.

If a purchase is refunded or reversed, associated credits may also be reversed or reconciled where necessary to keep the account and credit ledger accurate.

We may correct duplicate, erroneous, fraudulent or improperly issued credit transactions.

10. Storage, exports and availability

Storage, upload, processing, rendering and export limits may vary by plan or feature.

You are responsible for keeping independent copies of important source materials and completed work. The Service is not intended to be your sole archival backup.

Generated previews, derivatives, exports, temporary files and other processing artefacts may be deleted after applicable retention periods.

Some formats, export qualities and professional-delivery features may require a paid plan or specific supported environment.

11. Sharing

The Service may allow you to create links or recipient-specific access that makes a selected export available to other people.

When you create a Sharing link or approve recipients, you instruct Visualspace to make that selected content available under the access settings you choose.

You are responsible for choosing appropriate recipients, link settings and passcodes, and for distributing a Sharing link appropriately.

Anyone-with-the-link access may allow any person who receives the link, and any required passcode, to access the selected content while the link remains valid.

Specific-recipient access may require an authenticated account or other identity checks.

Disabling or allowing a Sharing link to expire can stop future authorised access, but it cannot reliably retract copies, recordings or screenshots that a recipient may already have made.

Playback-only controls are not digital-rights-management protection and do not guarantee that an authorised viewer cannot capture delivered content.

Not every export format or file may be eligible for Sharing.

12. Third-party services

The Service may depend on third-party providers for hosting, payments, email, AI inference, media processing, storage, analytics or other functionality.

Third-party outages, changes or restrictions may affect parts of the Service.

Your use of certain third-party integrations may also be governed by the relevant third party's terms.

Visualspace is not responsible for third-party services outside our reasonable control, but we will use commercially reasonable efforts to operate and restore the Service.

13. Intellectual property

The Service, excluding Your Content, including its software, design, branding, documentation and Visualspace-owned materials, is owned by Visualspace or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms, Visualspace grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

No Visualspace trademark, logo, brand or other proprietary identifier may be used without permission except as permitted by law.

14. Feedback

If you voluntarily provide ideas, suggestions or feedback about the Service, you grant Visualspace a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without obligation to you, provided this does not transfer ownership of Your Content.

15. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information.

By using the Service, you acknowledge that the Service processes information as described in the Privacy Policy.

If you use the Service to process personal information relating to other people, you are responsible for having an appropriate legal basis and providing any notices required by law.

16. Suspension and termination

You may stop using the Service at any time and may close or schedule deletion of your account using the available account controls.

We may suspend, restrict or terminate access where reasonably necessary because of:

  • material breach of these Terms;
  • unlawful or abusive activity;
  • fraud or payment abuse;
  • serious security risk;
  • risk to other users or the Service;
  • legal or regulatory requirements; or
  • prolonged non-payment for a paid service.

Where reasonably practicable, we will provide notice and an opportunity to address a remediable issue.

Account deletion may be subject to a recovery period stated in the Service before irreversible deletion occurs.

Provisions that by their nature should survive termination survive, including payment obligations, intellectual-property provisions, disclaimers, liability limitations and dispute provisions.

17. Service changes and discontinuation

We may add, modify or discontinue features.

For material changes to a paid service that substantially reduce core functionality during a paid billing period, we will use reasonable efforts to provide notice or an appropriate remedy where required by law.

We may impose or adjust reasonable technical, storage, rate or usage limits to protect security, reliability and fair access.

18. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available".

Visualspace does not warrant that the Service will be uninterrupted, error-free, completely secure, or that every output will be accurate or suitable for your purpose.

Nothing in these Terms excludes warranties, guarantees or rights that cannot lawfully be excluded.

19. Limitation of liability

To the maximum extent permitted by law, Visualspace and its affiliates, officers, employees, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunity or data arising from or relating to the Service.

To the maximum extent permitted by law, Visualspace's aggregate liability arising from or relating to the Service or these Terms will not exceed the greater of:

  • the amount you paid Visualspace for the Service during the 12 months before the event giving rise to the claim; or
  • SGD 100.

These limitations do not apply where liability cannot lawfully be limited or excluded.

20. Indemnity

To the extent permitted by law, if you use the Service for business or organisational purposes, you agree to indemnify and hold Visualspace harmless from third-party claims, losses and reasonable costs arising from:

  • Your Content;
  • your unlawful use of the Service;
  • your infringement of third-party rights; or
  • your material breach of these Terms.

This section does not apply to the extent a claim was caused by Visualspace's own breach or misconduct.

21. Changes to these Terms

We may update these Terms.

If a change is material, we will provide reasonable notice through the Service, email or another appropriate method.

Where required by law or by the Service's legal-versioning system, we may require you to accept updated Terms before continuing to use affected functionality.

The effective date and version shown with the Terms identify the applicable version.

22. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, except to the extent mandatory consumer law requires otherwise.

Subject to any mandatory rights you may have, the courts of Singapore have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

Before filing a formal claim, you and Visualspace agree to make a reasonable good-faith attempt to resolve the dispute informally.

23. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent, except where applicable law permits otherwise. We may assign these Terms as part of a merger, acquisition, corporate reorganisation or transfer of the Service.

These Terms, the Privacy Policy, applicable purchase terms and any other policies expressly incorporated by reference form the agreement between you and Visualspace regarding the Service.
